The demurrer was granted with leave to amend on all causes of action except breach of the implied covenant of good faith and fair dealing, which was granted without leave to amend.

Written for a multi-million dollar breach of contract case in the pharmaceutical industry, this motion in limine seeks to exclude evidence or testimony regarding a terms sheet that parties had signed prior to signing the contract underlying the action. Although this motion was filed but never ruled upon because the case settled, it was referred to and relied upon at meditation prior to settlement.
